Garment Production Agreement

This Agreement is made on between: Pictama Studios, a business operating in the United Kingdom (“Manufacturer”), and the Client (“Client”).

1. Scope of Work Pictama Studios agrees to manufacture garments on behalf of the Client using the Client’s provided design(s). The Client grants Pictama Studios the right to reproduce and manufacture these garments solely for the Client’s benefit.
2. Ownership of Design The Client affirms they are the rightful owner or have full rights to use the design(s) provided. The Client retains all intellectual property rights to the original design(s). Pictama Studios makes no claim of ownership over the design(s).
3. Manufacturing Rights The Client grants Pictama Studios a non-exclusive, royalty-free license to reproduce the design(s) for the sole purpose of garment production as instructed by the Client. This license is non-transferable and terminates upon completion of the agreed manufacturing services.
4. Use of Materials All production will be carried out according to the specifications and instructions agreed upon by both parties. Any changes must be confirmed in writing.
5. Liability Pictama Studios will not be held responsible for any legal issues arising from the use of unlicensed or unauthorized designs provided by the Client.
6. Payment Payment of commission is to be agreed at the beginning of each month from the previous month.
7. Termination Either party may terminate this agreement with written notice if terms are breached. Upon termination, all outstanding payments for work completed will be due.
8. Governing Law This Agreement shall be governed by and interpreted under the laws of England and Wales.
9. Colour reproduction may vary when printed due to differences between screen display and print processes. By approving and signing off on the final artwork, the client acknowledges this risk and waives the right to a replacement or reprint in the event of colour variation.
